ARTICLES OF FEDERATION

1. TITLE

International Federation of Warehousing Logistics (IFWL)

2. DEFINITIONS

International Federation of Warehousing & Logistics means Association and individual firms or companies engaged in the business of offering Warehousing and/or Logistics Services.

The Association shall mean the Federation of Warehousing & Logistics Associations, which is formed by individual or company, hereafter refer to as National Association.

A Company Member shall mean a member, to be individual or company, provide the service of warehousing and logistics including Membership of National Members and Non-membership of National Members.

3. MISSION AND PURPOSE 

The Federation shall be a non-profit making organisation.

It is a global Federation of warehousing and logistics associations and companies engaged in warehousing and logistics.

Through its global network and various activities its purpose is to;

As a tool of bridge, nexus and intermediary, promote the warehousing and logistics industry of IFWL and associations to standardization, Informalization, innovation and development.

Encourage and develop best practice in the warehousing and logistics industry by sharing knowledge, experience and business intelligence

Provide a co-using and co-construction e-platform for global networking and business generation within the warehousing and logistics industry between warehousing companies and cargo owners respectively.

Continually improve quality of service on a global basis through the development of standardisation and accreditation programmes for the warehousing and logistics industry

Promote and facilitate favourable business environment through alignment and understanding of international law, policy, standard and regulatory issues relevant to the warehousing and logistics industry.

4. REGISTERED OFFICE

The Registered office of IFWL is 1605A, Building B, Langqing International, #168 Guanganmenwai Street, Xicheng District, Beijing100055, China, until otherwise decided by the Federation Council

5. MEMBERSHIP ,4 TYPES 

Association Members – not only one, but also two or more associations whose aim are the encouragement of warehousing and/or logistics shall be eligible for membership.

Membership of Association Members–IFWL is open to individual company membership of Association Members, but, where an association exists a company will engage with IFWL through membership of its own association.

Non-membership of Association Members –IFWL is open to individual company membership of Where a association does not exist, or is not a Association Member, an individual company is eligible to join as IFWL Member.

Related companies and institute–research and consulting institute on warehousing and logistics, technical equipment company and cargo owner companies etc.

6. ADMISSION

7. MEMBER RIGHTS AND OBLIGIATIONS

7.1 Association Member

Be an ex-officio member of federation executive committee, having the right to vote for all matters;

Obliged to pay membership subscriptions, invite and encourage its members to join federation and attend related activities; Provide domestic or regional laws, regulations, policies, standards and industry statistics (warehouse scale, rents and lease ration, etc. of main cities) on warehousing and logistics aspects.

7.2 Company Member

Attend federation annual conference, have the right to vote and stand for election;

Serve as executive committee member through relevant procedure, have the right to vote;

Obtain all national or regional warehousing and logistics documents, warehouse facility information of other member enterprises;

Obliged to pay membership subscriptions and attend federation activities (including but not limited to annual conference, investigation, evaluation and facility co-construction and sharing);

Provide federation and its international warehousing platform with dynamic warehousing and logistics resources and warehouse vacancy status.

7.3 Expulsion

A Member may withdraw from the Federation only at the end of a calendar year after having given notice in writing to the Secretary three months in advance.

The expulsion of a member must be confirmed by a majority of two-thirds of the full Council and can be effected in the event of a Member prejudicing the objects of the Federation or infringing its Articles of Association.

The expelled Member must discharge all of its obligations towards the Federation and lose all rights especially in regard to its assets.

8. Organization

8.1 Membership Conference, the top-level decision-making body, which is formed by all members, is expected to hold once a year. Its role is to make and modify the Articles, elect the Executive Council members, choose the membership fee scale, audit work report and financial report of Secretariat and vote for workplan and related service items.

8.2 Executive Council, meets at least once a year, is the operation body of Membership Conference, generally speaking, only one Council member from the same country or region (association is an ex-officio member of the Council. In case of approved by association, the company member can take the replacement of national or regional member. If no association member exists, the company member can recommend one member of the Council.) Its role is to vote for principal of IFWL, registration office of Secretariat, Sectary-General and Treasurer as well as supervise the work status, the last but not the finally is to choose the new place for annual membership conference.

8.3 Person in charge including a President, a First Vice-President, a Second Vice-President (a term of one year) and an Executive Vice-President (Secretary-General concurrently, which term of office coincides with that of the Secretary-General). President, supported by Vice President, directs the annual membership and executive conference as well as important events.

The joint leadership of President and 3 Vice Presidents can organize the executive conference and daily work of the federation during the intersessional period of the Executive Committee.

The retiring President shall remain an ex-officio member of the Council for a period of two years after his termination of office as President.

8.4 Under the President and Council, Secretariat is the permanent working body of the Federation's General Assembly and undertake all work concerned with strategic suggestions and yearly work plan.

Under the leadership of the president, Secretary-General, who is recommended by association of registration country and decided by Executive Committee, is in charge of Secretariat and due to appoint the deputy Secretary-General and create a professional team that can provide daily and continuous services for members.

A Treasurer who shall be responsible for the supervision of Federation funds.

9. Funds and Financial Management

9.1 Fund sources: member subscriptions, activity revenues, contributions from members and subsidies from government where registered office located.

9.2 Member subscription level, is revised every five year, proposed by the Secretariat and decided by General Assembly. Determined in this special meeting in Shanghai, by the end of year 2025, the subscription of normal members is CNY 3,000, and executive members is CNY 8,000.

9.3 Revenue and Expenditure, set up independent account and separate accounting, report to member annual conference by the Secretariat.

9.4 Secretariat’s administration fees and travel expenses covered by the Federation. Federation wouldn’t bear travel expenses of executive members, except for special circumstances, which must be agreed by the Committee.

10. AMENDMENTS TO THE ARTICLES OF ASSOCIATION

Alterations or amendment to the existing Articles of Association shall require two thirds approval of those present in general meeting or of letter ballot.

Any request for alterations or amendment shall be submitted to the Secretary in writing at least three months before the date of the Annual Conference.

11. PROXY

Any Member entitled to attend and vote at a general meeting of the Federation shall be entitled to appoint another member, delegate or person as his proxy to attend and vote in his place, always provided that an instrument of proxy is lodged with the Secretary in advance of the meeting.

12. DISSOLUTION

The Council shall decide by a majority of two-thirds of the members on the dissolution of the Federation.

13. LEGALITY

Any provisions contained in the existing Articles of Association and any decision taken by the Council of the Federation shall not be valid if they are in contradiction with the laws and regulations in force in one of the countries affiliated to the Federation.

14. LANGUAGE

English and Chinese shall be the official languages of the Federation for the conduct of meetings and Secretariat matters.
